End User License Agreement

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("End-User," "you," or "your") and Bold Thinkers Group LLC ("Bold Thinkers Group," "Licensor," "we," "us," or "our"), located at 610 E Zack St, Suite 110-2323, Tampa, FL 33602, United States.

This EULA governs your use of any software, digital tools, web applications, client portals, reporting dashboards, and any other digital products or services provided by Bold Thinkers Group (collectively, the "Licensed Application"), whether accessed via web browser, desktop, or mobile device.

By accessing or using the Licensed Application, you indicate that you agree to be bound by all of the terms and conditions of this Agreement. If you do not agree to these terms, do not use the Licensed Application.

1. The Application

The Licensed Application includes digital tools and platforms provided by Bold Thinkers Group to support our professional services, which may include:

• Client reporting dashboards and analytics portals
• Project management and collaboration tools
• Marketing campaign management interfaces
• Content management and approval workflows
• Crisis communications platforms and alert systems
• AI-powered search optimization tools
• Any other digital tools provided as part of our service engagements

The Licensed Application is not tailored to comply with industry-specific regulations (such as HIPAA, FISMA, etc.) unless specifically agreed upon in a separate service contract. If your use would be subject to such laws, please consult with us before using the Licensed Application.

2. Scope of License

• You are granted a non-transferable, non-exclusive, non-sublicensable license to use the Licensed Application on devices that you own or control, and only in connection with services provided by Bold Thinkers Group.
• This license also governs any updates to the Licensed Application provided by Bold Thinkers Group that replace, repair, or supplement the original version, unless a separate license is provided for such updates.
• You may not share or make the Licensed Application available to third parties without Bold Thinkers Group's prior written consent, or sell, rent, lend, lease, or otherwise redistribute the Licensed Application.
• You may not reverse engineer, translate, disassemble, decompile, modify, create derivative works of, or attempt to derive the source code of the Licensed Application.
• You may not copy or alter the Licensed Application or portions thereof, except as expressly authorized by this license. You may not remove any intellectual property notices.
• Violations of these obligations may be subject to prosecution and damages.
• Bold Thinkers Group reserves the right to modify the terms and conditions of this license.

3. Technical Requirements

The Licensed Application may require a modern web browser (Chrome, Firefox, Safari, or Edge — latest or previous two versions) and a stable internet connection. Bold Thinkers Group attempts to keep the Licensed Application updated to comply with current browser versions and standards.

You acknowledge that it is your responsibility to ensure that your device and software meet the technical specifications required to use the Licensed Application. Bold Thinkers Group reserves the right to modify the technical specifications as needed.

4. Maintenance and Support

Bold Thinkers Group will provide reasonable maintenance and support for the Licensed Application during the term of your service engagement. Support may include bug fixes, security updates, and feature improvements at our discretion.

5. Use of Data

You acknowledge that Bold Thinkers Group may access and process data within the Licensed Application, and that our use of such data is subject to our Privacy Policy.

Bold Thinkers Group may periodically collect and use technical data and related information about your device, system, and application software to improve our products, provide services, and facilitate software updates, as long as it is in a form that does not personally identify you.

6. User-Generated Contributions

The Licensed Application may allow you to create, submit, post, or transmit content and materials ("Contributions"), including but not limited to text, documents, images, comments, and other material. When you create or make available any Contributions, you represent and warrant that:

• Your Contributions do not infringe the proprietary rights of any third party
• You are the creator and owner of, or have the necessary rights to, your Contributions
• Your Contributions are not false, inaccurate, or misleading
• Your Contributions are not unsolicited advertising, spam, or solicitation
• Your Contributions are not obscene, offensive, or otherwise objectionable
• Your Contributions do not violate any applicable law, regulation, or rule
• Your Contributions do not violate the privacy or publicity rights of any third party

7. Contribution License

You agree that we may access, store, process, and use any information and personal data that you provide in accordance with our Privacy Policy.

By submitting suggestions or other feedback regarding the Licensed Application, you agree that we can use and share such feedback for any purpose without compensation to you.

We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights associated with them. We are not liable for any statements or representations in your Contributions. You are solely responsible for your Contributions.

8. Liability

Bold Thinkers Group takes no accountability or responsibility for any damages caused due to a breach of duties according to the Scope of License section. To avoid data loss, you are required to make use of backup functions where available.

In no event shall Bold Thinkers Group be liable for any indirect, incidental, special, consequential, or punitive damages, regardless of the cause of action or theory of liability, even if we have been advised of the possibility of such damages.

9. Warranty

Bold Thinkers Group warrants that the Licensed Application is free of spyware, trojan horses, viruses, or any other malware at the time of your access, and that the Licensed Application works as described in any user documentation provided.

No warranty is provided for the Licensed Application that has been used with unauthorized modifications, handled inappropriately, combined with incompatible hardware or software, or used with inappropriate accessories, regardless of whether by you or by third parties.

If we confirm that the Licensed Application is defective, Bold Thinkers Group reserves the choice to remedy the situation either by solving the defect or providing a substitute solution.

10. Intellectual Property Rights

Bold Thinkers Group is responsible for any claims relating to the Licensed Application or your use thereof, including but not limited to: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.

Bold Thinkers Group and the End-User acknowledge that, in the event of any third-party claim that the Licensed Application or your use of it infringes that third party's intellectual property rights, Bold Thinkers Group will be responsible for the investigation, defense, settlement, and discharge of any such infringement claim to the extent required by this Agreement.

11. Legal Compliance

You represent and warrant that: (i) you are not located in a country that is subject to a US Government embargo, or that has been designated by the US Government as a "terrorist supporting" country; and (ii) you are not listed on any US Government list of prohibited or restricted parties.

12. Termination

This Agreement is effective until terminated by you or Bold Thinkers Group. Your rights under this Agreement will terminate automatically if you fail to comply with any of its terms. Upon termination, you shall stop all use of the Licensed Application and delete all copies from your devices.

Termination of this Agreement will not limit any of Bold Thinkers Group's rights or remedies at law or in equity in case of breach by you of any of your obligations under this Agreement.

13. Third-Party Terms

Bold Thinkers Group may use third-party services in connection with the Licensed Application. You acknowledge and agree that you are bound by the terms and conditions of any third-party services used in connection with the Licensed Application.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the federal or state courts located in Hillsborough County, Florida.
